The possibility of forming a start-up company which would develop artificial intelligence services for organizations, using software I had already developed for my text analytics research, was explored through occasional meetings and emails during the Fall semester of 2018. The response of the potential business founders to the information I provided has been positive. This resulted in the formation of Glenmill Science INC, on 2/12/2019. none The company did not exist before 2/12/2019. It has no revenues, salaries, reimbursements, or any other compensation at present. The activities of 2018 consisted solely of occasional discussions and emails relevant to the possibility of creating the start-up company. The interests of this company, the university, and myself are aligned, not in conflict. I have intellectual property I created while an employee of UTRGV, to do novel forms of text analytics. I have been and am still working with Fernando Gonzalez of UTRGV's Intellectual Property department to create disclosures and develop licensing agreements under which this software can be used. I am recused from any and all licensing negotiations which may occur. None of those negotiations took place in 2018. Delivering value to the community and the university through the licensing of UTRGV's intellectual property is an encouraged and well-supported activity of UTRGV. It is appropriate to work to gather this value from the software that has been developed. My activities with respect to Glenmill Science consist of occasional teleconference meetings, in the range of 1 to 3 hours per week. The software being licensed has already been written, and is handled by disclosures to the Intellectual Property office. Further development of text analytics software is an activity of research in my discipline, as it was in the creation of these intellectual properties in the first place.
