10% FACTS AND CIRCUMSTANCES SUPPORT TEST:
The Omaha development foundation was formed to combat community deterioration in the Omaha, Nebraska metropolitan area by identifying and studying community development needs, conducting or financing research with respect to those needs, furnishing the information obtained to the local government involved, assisting them with planning, formulating and implementing community development programs and activities including but not limited to the acquisition, construction, reconstruction, rehabilitation, installation, furnishing or expansion of public works, facilities and services of all kinds, aiding local governments in applying for and receiving grants as well as securing private investments when suitable, making contributions to and helping get matching funds for local governments, and thus lessening the burdens of government. For the past couple of years, one of the projects the Omaha Development Foundation has been working on is acquiring a piece of land that is adjacent to Offutt Air Force Base. The Omaha Development Foundation already owns a similar property. The reason this is so important is because it provides an opportunity for future growth and expansion of the base. Offutt Air Force Base is one of Nebraska's largest employers, with 8,000 military and civilian personnel. Nearly 32,000 military, civilians, contractors, dependents and retirees make their home in the area. The base generates almost 4,400 secondary jobs regionally and is a vital part of the economy with an annual economic impact of nearly $2.7 billion. Keeping the base, providing opportunities for growth, and the potential for new missions is always a priority for community leaders. The Omaha Development Foundation is working with the government and local community organizations to make this happen. As with many of the projects the Omaha Development Foundation has been involved in, the process often takes a lot of time in order to ensure that a due diligence process has been followed and all parties in agreement of the plan. Another project that the Omaha Development Foundation was involved with was bringing Toast, Inc. to Omaha. This company was attractive to Omaha leaders for several reasons. Toast, Inc. is a tech company who was growing quickly and gaining momentum. The company was interested in locating in downtown Omaha and expected to employ a few hundred people within the first few years. Normally in a situation like this, the Nebraska Department of Economic Development would offer incentives to bring this type of project to the state. Unfortunately, they did not have funds available to offer Toast, Inc. at the time. Projects like this take a long time to land do not come along every day. Omaha did not want to miss out on this opportunity. This was a case where the Omaha Development Foundation was able to lessen the burdens of government and also bring in a company to downtown Omaha, an area that is always vulnerable. Specific criteria had to be met such as locating in downtown Omaha, meeting certain employment and wage thresholds, on-the-job training, and building improvements.

The Foundation has been recognized by the Internal Revenue Service as a tax-exempt entity and, accordingly, is exempt from federal income taxes in accordance with Section 501(c)(3) of the Internal Revenue Code. The Foundation applies the provisions of Accounting Standards Codification (ASC) Subtopic 740-10, Income Taxes - Overall, which provides specific guidance on how to address uncertainty in accounting for income tax assets and liabilities, prescribing recognition thresholds and measurement attributes. As of December 31, 2019 and 2018, the Foundation had no uncertain tax positions.

ASIC is the economic development organization for Council Bluffs and Pottawattamie County that focuses on business attraction, business retention and site development. ASIC is one of ODF's partners and their service area is part of the Omaha metro area. ASIC wanted to expand their role with small business and entrepreneurial development by providing one-on-one project management assistance to grow these small businesses and start-ups. The grant supports ODF's mission to address community development needs and help lessen the burdens of government. This grant is made through money received from the Iowa West Foundation (IWF). IWF only releases a small amount of money up front and in order for additional support, reporting requirements must be met through IWF. ODF relies on the monitoring done by IWF.
