PART I, LINE 3: CEO/EXEC DIRECTOR COMPENSATION IS DETERMINED BY A RELATED ORGANIZATION, GEORGE JUNIOR REPUBLIC, EIN XXX-XX-XXXX. PERIODICALLY, THE BOARD HIRES AN INDEPENDENT CONSULTING FIRM TO REVIEW COMPENSATION, INCLUDING THE ORGANIZATION'S CEO; CFO; OFFICERS; AND KEY EMPLOYEES. THE MOST RECENT REVIEW WAS PERFORMED IN 2009. THE FIRM, IN ITS WRITTEN REPORT TO THE COMPENSATION COMMITTEE, RECOMMENDED SALARY RANGES FOR THESE POSITIONS. THE COMPENSATION COMMITTEE, UPON CONSIDERATION AND REVIEW, MADE ITS RECOMMENDATION TO THE FULL BOARD OF DIRECTORS. THE COMPENSATION AND BENEFITS COMMITTEE SHALL CONSIST OF THREE OR MORE DIRECTORS APPOINTED BY THE BOARD OF DIRECTORS, NONE OF WHOM SHALL BE EMPLOYED OR CONTRACTED, OR RELATED TO PERSON EMPLOYED OR CONTRACTED BY THE CORPORATION OR ANY CORPORATION CONTROLLED BY THE CORPORATION, AT LEAST TWENTY-FOUR (24) HOURS ORAL OR WRITTEN NOTICE SHALL BE GIVEN FOR ALL MEETINGS OF THE COMPENSATION AND BENEFITS COMMITTEE.
