Form 990, Part VI, Section A, Line 7b All of the authority and powers of St. Edward Home are exercised by the Board of Directors subject to the following rights reserved to the local Bishop of the Roman Catholic Church: to approve any changes made by the Board of Directors with respect to philosophy, mission and purpose of St. Edward Home; to determine and maintain the Catholic identify of St. Edward Home, and to approve any amendment or restatement of the Articles of Incorporation and the Code of Regulations which affect the reserved powers of the Bishop.
Form 990, Part VI, Section B, Line 11b After the form is prepared by the organization's Accounting Supervisor, it is reviewed by the V.P. of Finance/CFO. The form is then reviewed by the organization's Independent auditing firm. Next, the President/CEO and V.P. of Finance/CFO meet with the Executive and Finance Committees to review the forms. Subsequent to that meeting, a copy is provided to the full Board of Directors before the report is filed.
Form 990, Part VI, Section B, Line 12c The Annual Conflict of Interest Disclosure Statement is distributed to all board directors at the first Board of Directors meeting of the year. The directors are encouraged to complete the form at that meeting. For those that do not complete the form at that time or are not present at the meeting, staff mails the form to them for their completion. Staff monitors receipt of the forms until all have been received. Upon receipt, staff reviews the forms with the President/CEO. The completed forms are then filed. For any conflicts that may arise, the Duality of Interest section of the organization's Code of Regulations states that only directors who are not interested in the matter may vote.
Form 990, Part VI, Section B, Line 15 The following process is used to establish compensation for the President/CEO: The Executive Committee of the Board of Directors obtains needed comparability data for comparable positions in similar organizations from independent, outside consultants or auditors providing services to the continuing care industry. The data is provided to the Executive Committee prior to a Board of Directors meeting. The Executive Committee reviews the data, along with documentation from the President/CEO addressing the accomplishment of goals and objectives for the year. The Executive Committee maintains their own minutes of this meeting. The Executive Committee then makes a recommendation for any compensation adjustment at the next meeting of the Board of Directors. The recommendation is made by members independent of the President/CEO. The discussion and results of the meeting are documented in the Board of Directors minutes.
Form 990, Part VI, Section C, Line 19 The Organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.
