(D) DESCRIPTION OF TRANSACTION: ADVERTISING, PUBLIC RELATIONS, MEDIA RELATIONS AND OTHER COMMUNICATIONS SERVICES PROVIDED BY LOVE COMMUNICATIONS. TOM LOVE IS THE PRESIDENT OF LOVE COMMUNICATIONS AND A BOARD MEMBER OF UWSL. A MONTHLY RETAINER OF $3,000 IS PAID TO LOVE COMMUNICATIONS FOR THE SERVICES. $187,383 OF THE TRANSACTION AMOUNT IS MEDIA BUYS THAT WERE PASSED-THROUGH TO MEDIA OUTLETS. LOVE COMMUNICATIONS DONATED MORE THAN $81,000 IN CONSULTING SERVICES TO UWSL, AND LEVERAGED AN ADDITIONAL $354,337 IN ADVERTISING SERVICES. UWSL UTILIZES A THOROUGH PROCESS TO ENGAGE A COMMUNICATIONS FIRM INCLUDING AN RFP PROCESS WHERE PROPOSALS ARE REVIEWED BY SENIOR MANAGEMENT, GOVERNANCE AND ETHICS COMMITTEES AND APPROVED BY THE EXECUTIVE COMMITTEE AND BOARD OF DIRECTORS. MR. LOVE WAS EXCUSED FROM THE ROOM DURING THESE APPROVALS TO COMPLY WITH THE CONFLICT OF INTEREST POLICIES. THE CONTRACT WAS REVIEWED BY LEGAL COUNSEL PRIOR TO SIGNING.
