IT IS THEN REVIEWED IN DETAIL FOR APPROVAL BY THE AUDIT AND FINANCE COMMITTEE. UPON APPROVAL, IT IS SENT VIA E-MAIL TO THE BOARD PRIOR TO FILING. IT IS THEN DISCUSSED WITH THE BOARD MEMBERS AT THE NEXT SCHEDULED BOARD MEETING.

THE HUMAN CAPITAL COMMITTEE RECOMMENDS THE COMPENSATION STRUCTURE TO THE EXECUTIVE COMMITTEE FOR APPROVAL.
