CERTAIN OFFICERS AND KEY EMPLOYEES WERE PROVIDED ADDITIONAL COMPENSATION TO OFFSET THE TAX IMPACT OF EXECUTIVE LIFE INSURANCE AND LONG TERM DISABILITY PREMIUMS MADE ON THEIR BEHALF.
