Form 990, Part VI, Line 6 LEE has two classes of members: 1. Class One Members are comprised of the President of Teach For America and such other persons duly admitted to this membership class by a majority vote of the Class One Members. 2. Class two members are comprised of teach for america corps member alumni who have requested to become members and have been duly admitted as alumni members by an affirmative vote of the board of directors.
Form 990, Part VI, Line 12 The organization operates under the Teach for America conflict of interest policy. All individuals serving in the capacity as board member or officer are required to adhere to the conflict of interest policy and complete an annual questionnaire disclosing any potential conflicts with the organization. When an officer or director becomes aware of a potential conflict, he or she shall have a duty to: 1. immediately disclose the existence and circumstances of the transaction in writing to the Board. 2. refrain from using his or her personal influence to encourage the organization to enter into the transaction 3. physically excuse himself or herself from participation in any discussions regarding the transaction with the directors, officers and employees of the organization. The Board administers the conflicts policy and reviews the annual conflict disclosure statements. The Board has the sole authority to review the operation of the policy and make changes from time to time as it may deem appropriate.
form 990, part vi, section B, Line 15a & b The compensation of the organization's top management official, the executive Director, is determined by a group of independent persons, the Board of Directors. In 2013, lee reviewed the performance of all its staff as well as its top management officials who had been in their position for at least 90 days as of june 30th. two key elements of the staff performance review were goals and role competencies identified for that role at the creation of that role or at the beginning of the year. the 360 performance reviews included feedback from peers, managers, direct reports and partners as appropriate. Lee's annual compensation review took place in october and november 2013. in october 2013, lee established a range of compensation increases based on performance ratings (e.g. higher performers received the higher range of compensation.) finally, the lee human assets team and the executive director then reviewed each staff performance rating, assessed internal equity and agreed on that individual's 2014 compensation.
Form 990, Part VI, Section C, line 19 the organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. the return is posted on the Leadership for Educational Equity website, guidestar.org and other similar types of websites. in addition, the financial statements, conflict of interest policy, articles of incorporation, form 990 and by-laws are also available upon written request or by calling the organization directly.
