THE BOARD ESTABLISHED A COMPENSATION COMMITTEE THAT WILL DETERMINE COMPENSATION FOR ANY PERSONS IN A POSITION TO EXERCISE SUBSTANTIAL INFLUENCE OVER THE AFFAIRS OF THE ORGANIZATION (E.G. CEO, CFO, ETC.) THE COMMITTEE SHALL REVIEW ONE OR MORE INDEPENDENT COMPENSATION SURVEYS COMPILED BY INDEPENDENT FIRMS OF THE COMPENSATION PAID TO SIMILARLY SITUATED INDIVIDUALS AT INSTITUTIONS COMPARABLE TO THE ORGANIZATION AS DETERMINED BY THE COMMITTEE. SUBJECT TO PERFORMANCE EVALUATION, TENURE, COMPETITIVE NEEDS AND OTHER FACTORS DISCUSSED BELOW, THE COMMITTEE SHALL ESTABLISH BASE SALARIES FOR THE THESE INDIVIDUALS WITH REFERENCE TO THE COMPENSATION PAID TO INDIVIDUALS HOLDING COMPARABLE POSITIONS AT COMPARABLE ORGANIZATIONS AT OR BELOW PERCENTILES ESTABLISHED BY THE COMMITTEE AS PART OF THIS COMPENSATION POLICY (E.G., IF THE COMMITTEE DETERMINES THAT IT WILL LIMIT BASE SALARY COMPENSATION TO THAT PROVIDED AT THE 75TH PERCENTILE OF COMPARABLE ORGANIZATIONS, BASE SALARY COMPENSATION CANNOT EXCEED THE AMOUNT ESTABLISHED AT SUCH PERCENTILE, EXCEPT IN EXCEPTIONAL CIRCUMSTANCES). THE COMMITTEE MAY ESTABLISH INCENTIVE COMPENSATION OF UP TO A MAXIMUM PERCENTAGE OF EACH OF THESE INDIVIDUAL'S BASE SALARY AS DETERMINED BY THE COMMITTEE, BUT IN NO EVENT SHALL INCENTIVE COMPENSATION BE PAID THAT WOULD CAUSE THE COVERED INDIVIDUAL'S TOTAL COMPENSATION TO BE IN EXCESS OF THE DOLLAR FIGURE THAT IS DETERMINED TO EXCEED THE TOTAL COMPENSATION FOR COMPARABLE POSITIONS AT COMPARABLE ORGANIZATIONS AT PERCENTILES ESTABLISHED BY THE COMMITTEE AS PART OF THIS COMPENSATION POLICY (E.G., IF THE COMMITTEE DETERMINES THAT IT WILL LIMIT TOTAL COMPENSATION TO THAT PROVIDED AT THE 75TH PERCENTILE OF COMPARABLE ORGANIZATIONS, TOTAL COMPENSATION CANNOT EXCEED THE AMOUNT ESTABLISHED AT SUCH PERCENTILE, EXCEPT IN EXCEPTIONAL CIRCUMSTANCES).
