The Catholic Foundation of Central Florida, Inc. (the "Foundation") is governed by five Members and a Board of Directors. The five members include the Bishop of the Diocese of Orlando (the "Diocese"), a Vicar General of the Diocese, a member appointed by the Bishop, and the Chairman and Treasurer of the Foundation's Board of Directors. The Members have broad authority, including the authority to appoint and remove Members of the Foundation's Board of Directors, dissolve the Foundation and approve the Foundation's annual budgets as described in the Foundation's bylaws. The Foundation's Board of Directors is responsible for the management and control of the Foundation's operations, affairs, property and funds. The Board is supported by five standing committees. The Foundation provides a fundraising platform for Diocesan wide initiatives that will strengthen the people and parishes in the Diocese. |

Independent accountants prepared the form 990. The VICE PRESIDENT OF FINANCE reviewed the return and provides a copy of the finalized return to all of the board members prior to filing with the IRS. |

The Catholic Foundation has a written conflict of interest policy that encourages individuals to report concerns about possible fraudulent or dishonest conduct or use or misuse of property. All relevant matters, including suspected but unproved matters, are reviewed, analyzed and documented. |

IN KEEPING WITH THE POLICY OF MAINTAINING THE HIGHEST STANDARDS OF CONDUCT AND ETHICS, THE CATHOLIC FOUNDATION OF CENTRAL FLORIDA, INC. (THE "FOUNDATION") WILL INVESTIGATE ANY SUSPECTED FRAUDULENT OR DISHONEST USE OR MISUSE OF RESOURCES OR PROPERTY BY STAFF, BOARD MEMBERS, CONSULTANTS OR VOLUNTEERS. THE FOUNDATION IS COMMITTED TO MAINTAINING THE HIGHEST STANDARDS OF CONDUCT AND ETHICAL BEHAVIOR AND PROMOTES A WORKING ENVIRONMENT THAT VALUES RESPECT, FAIRNESS AND INTEGRITY. ALL STAFF, BOARD MEMBERS AND VOLUNTEERS SHALL ACT WITH HONESTY, INTEGRITY AND OPENNESS IN ALL THEIR DEALINGS AS REPRESENTATIVES FOR THE ORGANIZATION. FAILURE TO FOLLOW THESE STANDARDS WILL RESULT IN DISCIPLINARY ACTION INCLUDING POSSIBLE TERMINATION OF EMPLOYMENT, DISMISSAL FROM ONE'S BOARD OR VOLUNTEER DUTIES AND POSSIBLE CIVIL OR CRIMINAL PROSECUTION, IF WARRANTED. The Diocesan human resources director tracks local compensation levels for all positions within the diocese. The board approves compensation levels with input from the human resources director and with their business experience within central Florida. |

Generally, the Catholic Foundation of Central Florida does not make its governing documents or its conflict of interest policy available to the public.
