The Association makes available to all the members reasonable nomination and election procedures with respect to the election of Directors by members. The Board of Directors govern the Association and report to the members at an Annual Meeting of Members. |

In general the decisions of the governing body are not subject to approval by members, however, a decision to disband IHRIM, Inc. or merge with another organization does have to go to membership for its approval as does a bylaw change that fundamentally changes the representation of a member (e.g., taking away a member's vote). |

Each member of the IHRIM Board of Directors, or any of its committees, must disclose to the IHRIM Executive Committee any conflicting or potentially conflicting personal or professional interest which he or she may have in any matter pending before the Board. It is then the responsibility of the Board to interpret and apply the policy to particular circumstances. Specifically, the Board may require any action it deems appropriate including but not limited to refraining from participation in any discussion or decision on such matter. |
