A draft Form 990, including all supplemental forms, is distributed to all Board members with other meeting materials approximately one week prior to the scheduled Board meeting date. Information contained in the forms is discussed during the meeting with any requested changes noted for the final draft. Board members then vote to approve the filing as presented, or as amended if changes are required, and authorize staff to submit all forms on its behalf. Staff subsequently follows up with the auditors to complete and submit the Form 990 as directed and approved by the Board of Directors. |

MMHP had a long-standing conflict of interest policy that applied equally to personnel and members of the Board of Directors and advisory boards. During FY11, MMHP amended this policy to apply to personnel only. At the same time, MMHP amended its by-laws to expand the conflict of interest section for Board and advisory board members and require annual disclosure of potential conflicts. A conflict of interest disclosure form was created and is now required to be completed on an annual basis. |

MMHP'S Board of Directors determines all compensation, including salary adjustments for the Executive Director. Information is generally provided to Board members for comparable organizations of similar size and operations for comparison and discussion purposes. All issues are discussed at the Board table in the absence of any staff members and voted on for documentation in the Board minutes. All other staff compensation remains the purview of the Executive Director as it falls within the parameters of the agency's annual budget, which is also subject to approval by the Board. |

Maine Migrant Health Program, as a federally-funded nonprofit corporation, is required to have an annual audit by an outside accounting firm. The audited financial statements and any letters to Management, in conjunction with the Federal Financial Report (standard form 425), are subsequently filed with HRSA, and thus available to any public inquiry. In addition, all governing documents, financial statements, and tax returns are available upon request to MMHP's administrative headquarters. |
