Form 990, Part VI, Section A, line 6 Yes, it has members. The members of the corporation are the community members who pay dues and vote at an annual meeting. This includes voting for five members of the board (one half) each year. New members are voted in by a majority of the existing members at the annual meeting.
Form 990, Part VI, Section A, line 7a Yes, the members elect all board members. One half of the board is elected each year for a two-year term.
Form 990, Part VI, Section A, line 7b All changes to the by-laws require the approval of the members at the annual meeting. In addition, to become new members requires the approval of the existing members at the annual meeting.
Form 990, Part VI, Section B, line 11 The board will receive a copy of or an email of the Form 990 before the actual filing. Further, the board reviews the consolidated expense, balance sheet, 990 check sheets, and the actual 990 & 990T returns. If the board meeting schedule does not permit a review before filing, the board will review at the next scheduled meeting.
Form 990, Part VI, Section B, line 12c At a board meeting the conflict of interest policy is distributed and signed by all members present. At this meeting any questions or concerns about compliance are received. Any loans or other transactions, where the possibility of a conflict of interest may exist, are always reviewed by the board for compliance with the conflict of interest policy.
Form 990, Part VI, Section B, line 15 15(a) - Not marked, the President, Executive Director, CFO, and top management are all unpaid volunteer positions. 15(b) - Not marked, all key positions and officers are volunteers and are paid at most a minimal stipend. No stipend exceeds $15,000 per year. Nearly all are in the $2400, to $10,800 range. We consider all key positions and officers as volunteer positions with only minimal support provided to a few. All stipends are administereed by the personnel committtee to a grid created by a committee of the board and approved by the entire board.
Form 990, Part VI, Section C, line 19 All governing documents and conflict of interest policy are in the care of the secretary of the board of directors. The financial statements are in the care of the treasurer of the board of directors. All documents are available upon request for review. These records are all maintained at 445 Summit Road, Watsonville, California, 95076. Board minutes are posted to the fellowship website: www.hanumanfellowship.org, access is restricted to members of the Hanuman Fellowship by a password.
