Sch L, Part IV, Business Transactions Involving Interested Persons: (b) Relationship Between Interested Person and Organization: Greater than 35% Controlled Entity(d) Description of Transaction: The Organization contracts with Network for Good (C. Corp) to conduct professional fundraising for the Organization, subject to a commercial fundraising agreement that has been properly registered in all states that require registration. In addition, the parties have entered into a management agreement and a service level agreement, by which Network for Good (C. Corp) provides significant management and support services to the organization, including management of the organization's office, web site services, web hosting services and bookkeeping and accounting services. All transactions between the Organization and Network for Good (C. Corp) are entered into at arm's length, and the Organization pays no more than fair market value for services provided by Network for Good (C. Corp). The Organization's board and officers oversee the work of the Organization and review Network For Good (C. Corp)'s provision of services under the contracts. Network For Good (C Corp) and the Organization uphold clear boundaries between the corporate entities, including independent members on each entity's respective board of directors and the strict maintenance of corporate formalities at each entity. The total cumulative value of services provided by Network For Good (C Corp) to the 501(c)(3) during 2014 was $6,945,289.
