DIRECTORS MUST AFFIRM THAT THEY HAVE READ, UNDERSTAND, AND AGREE TO ABIDE BY THE ORGANIZATION'S CONFLICTS OF INTEREST POLICY. THE CHAIRPERSON REPORTS TO THE FULL BOARD AT THE NEXT BOARD MEETING THE RESULTS OF THE DISCLOSURE STATEMENTS. EACH DIRECTOR SHALL PROMPTLY INFORM THE CHAIRPERSON OF ANY POTENTIAL CONFLICTS OF INTEREST THAT ARISE BETWEEN DISCLOSURE PERIODS. A CONFLICTED DIRECTOR SHALL BE RECUSED FROM THE MEETING AND HAS NO VOTE. THE CONFLICT OF INTEREST TRANSACTION MUST BE VOTED ON TO DETERMINE THAT IT IS IN THE BEST INTEREST AND FOR THE BENEFIT OF THE ORGANIZATION. MATERIAL, SUBSTANTIAL, AND DIRECT CONFLICTS OF INTEREST THAT CANNOT BE CURED BY RECUSAL FROM DISCUSSION AND VOTE ON A PARTICULAR MATTER, MAY RESULT IN THE REMOVAL OF DIRECTOR FOR CAUSE UNDER THE BYLAWS. THE MINUTES OF THE BOARD MEETINGS MUST DOCUMENT CONFLICTS OF INTEREST AND THE ACTIONS TAKEN.

THE ORGANIZATION HIRED A HUMAN RESOURCES CONSULTANT. THE EXECUTIVE DIRECTOR REVIEWED REPORTS ON COMPENSATION AND DETERMINED SMALL SALARY INCREASES. IF THE EMPLOYEE IS UNDER PAID BY A LARGE AMOUNT, THEN IT IS BROUGHT TO THE BOARD OF DIRECTORS PERSONNEL COMMITTEE FOR APPROVAL. THE EXECUTIVE DIRECTOR'S COMPENSATION IS DETERMINED BY THE BOARD OF DIRECTORS.
