Any Trustee having a duality or conflict of interest shall not vote or use his or her personal influence on the matter and shall not be counted in determining the quorum for the meeting solely in connection with the matter that is the subject of the conflict of interest. The minutes of the meeting shall reflect that a disclosure was made, the abstention from voting and the quorum situation. The executive committee would review any conflicts and determine any additional actions needed. |
