FORM 990, PART VI, LINE 12C THE BOARD OF DIRECTORS REVIEWS AND APPROVES A CONFLICT OF INTEREST POLICY EACH YEAR AND ATTESTS THAT THEY UNDERSTAND IT AND HAVE PROVIDED INFORMATION ON ANY POTENTIAL CONFLICTS. MEMBERS ARE OBLIGATED TO DISCLOSE ALL POTENTIAL AND ACTUAL CONFLICTS OF INTEREST TO THE NOMINATING & GOVERNANCE COMMITTEE CHAIR, REMOVE THEMSELVES FROM DISCUSSIONS AND VOTING ON ANY RELATED MATTER.
