MEMBERSHIP IN THE CORPORATION IS NONTRANSFERABLE AND NONASSIGNABLE, EXCEPT TO AN AFFILIATE OF ONE OF THE EXISTING MEMBERS. NO PART OF THE EARNINGS OR ASSETS OF THE CORPORATION SHALL INURE TO THE BENEFIT OF ANY PRIVATE INDIVIDUAL.
