All board members complete an evaluation of the CEO and individually present the results to the board chair who presents to the compensation committee, consisting of three board members, including the Chair and Vice Chair. The compensation committee reviews the evaluation results with the CEO and determines the CEO's salary based on the salary surveys from three different organizations. The comparable data are based on Missouri or the region. The compensation committee members do not have a conflict of interest with respect to the compensation agreement. The committee documents their review and decisions and meets at least once annually. The CEO sets the recommended salaries for key employees using comparable data from the three salary surveys. The Vice President of Human Resources participates in determining the appropriate salaries for key employees. |

Financial information is reviewed at the Medical Executive and Medical Staff meetings monthly. The information is then shared at the managers' meeting and communicated to all staff at department meetings.
