MARKET DATA REPRESENTING FUNCTIONALLY COMPARABLE JOBS WITHIN SIMILARLY SITUATED ORGANIZATIONS WAS USED IN MAKING THESE COMPENSATION DETERMINATIONS. AFTER REVIEW AND DELIBERATION OF THE HUMAN RESOURCES & COMPENSATION COMMITTEE OF THE BOARD, COMPENSATION RECOMMENDATIONS WERE REVIEWED BY THE FULL BOARD.
