Return Reference Explanation
Part I, Line 3 The Boston Foundation's standing Compensation Committee, which includes the Board Chair as an Ex-Officio member, is governed by a formal charter and follows the Boston Foundation's formal total compensation strategy. The total compensation strategy requires the Boston Foundation to retain the services of an independent compensation specialist to survey salaries and compensation of comparable positions within local and national peer organizations. The specialist submits a formal report to the Compensation Committee. Guided by the report, the Compensation Committee recommends compensation for the upcoming fiscal year. The Compensation Committee then reports to the full Board, which votes to ratify the actions taken by the Compensation Committee, including the recommended compensation.
Part I, Line 4b Paul S. Grogan, George C. Wilson, Mary Jo Meisner, Alfred Van Ranst and Kate Guedj, all participated in a SERP Plan. The total SERP Plan contributions for the above participants for the calendar year ended December 31, 2014 were as follows: Taxable Non-Taxable Paul S. Grogan $ 77,275 $17,500 George C.
