Significant changes Form 990, Part III, Line 3: On December 30, 2015, Arizona State University (ASU), a governmental unit of the State of Arizona, was granted the right to appoint the members of the Thunderbird School of Global Management Board as part of a larger integration of Thunderbird into the ASU knowledge enterprise. In conjunction with the integration, continuing Thunderbird faculty and staff became ASU employees and ASU assumed responsibility to teach-out Thunderbird students. All Thunderbird students completing degree requirements prior to December 31, 2015, will be able to receive a Thunderbird diploma and degree. The Thunderbird School of Global Management continues to hold all physical assets of the campus, to provide executive education, and to provide educational support services in furtherance of its mission to educate global leaders who create sustainable prosperity worldwide. Form 990 Review Process Form 990, Part VI, Section B, Line 11b: The Form 990 was reviewed by the vice president and Assistant Treasurer and a copy of the Form 990 was provided to all Trustees.
Monitoring and Enforcement of Conflict of Interest Policy Form 990, Part VI, Section B, Line 12c: On an annual basis, the school distributes a conflict of interest acknowledgment to each officer, trustee, and key employee of the school. The acknowledgment describes the school's conflict of interest policy and provides an opportunity for the person to disclose any interest that could give rise to a conflict of interest. Each person is required to return the acknowledgment signed, to affirm that they have received, read and understood, and agreed to comply with the policy. In addition to the signed acknowledgment, the school consistently reviews all financial transactions to identify and resolve potential conflicts.
Process for Determining Compensation of Top Executive Form 990, Part VI, Section B, Line 15a: The senior executive compensation subcommittee of the executive committee of the Board of Trustees is responsible for the review and evaluation of the compensation of the President and directly reports and makes specific recommendations to the Chairman and the executive committee on the President's annual compensation. The subcommittee uses external comparability assessments developed by an independent consultant to assist in this process as well as performance evaluations of the President by the Trustees. The executive committee of the Board reviews and approves the President's compensation annually. The executive committee's review is conducted by independent Trustees and contemporaneous records of the proceedings are maintained. FORM 990, PART XII, LINE 2C: THE THUNDERBIRD BOARD APPROVED CONTINUED USE OF GRANT THORNTON AS THUNDERBIRD'S AUDIT FIRM AND THE AUDIT WAS MANAGED BY ASU EMPLOYEES. THE AUDIT REPORT WAS REVIEWED BY AND PRESENTED TO THE THUNDERBIRD VICE PRESIDENT AND ASSISTANT TREASURER.
