FORM 990, PART I, LINE 1: SAN DIEGO THEATRES, INC.(SDT) IS A NON-PROFIT, PUBLIC BENEFIT CORPORATION OPERATING THE SAN DIEGO CIVIC THEATRE AND THE HISTORIC BALBOA THEATRE. THE SAN DIEGO CIVIC THEATRE IS OWNED BY THE CITY OF SAN DIEGO. THE HISTORIC BALBOA THEATRE IS OWNED BY THE CITY ACTING AS THE SUCCESSOR AGENCY OF THE REDEVELOPMENT AGENCY. SDT SERVES OVER 420,000 PATRONS ANNUALLY THROUGH ARTS AND ENTERTAINMENT PRESENTATIONS. THE MISSION OF SDT IS TO ENRICH ALL THE PEOPLE OF ITS REGION THROUGH EXCEPTIONAL PERFORMING ARTS AND EDUCATION EXPERIENCES, TO FOSTER COLLABORATION IN THE ARTS COMMUNITY, AND TO BE A CATALYST FOR ECONOMIC DEVELOPMENT IN DOWNTOWN SAN DIEGO. SDT IS DEDICATED TO THE SUCCESSFUL STEWARDSHIP OF THESE PUBLICLY-OWNED PERFORMING ARTS VENUES FOR THE BENEFIT OF THE REGION. THE COMBINATION OF THE CIVIC THEATRE AND THE BALBOA THEATRE, ALONG WITH NUMEROUS OTHER PERFORMING ARTS VENUES, PROVIDE THE CORNERSTONES OF THE DOWNTOWN PERFORMING ARTS DISTRICT WHICH BENEFITS THE REGION.

FORM 990, PART III, LINE 4A THE CIVIC THEATRE IS SAN DIEGO'S MAJOR CULTURAL VENUE, AND IS THE LARGEST, MOST PRESTIGIOUS, AND HIGHEST ATTENDED PERFORMING ARTS VENUE IN SAN DIEGO. IT IS THE PERFORMING HOME TO THE SAN DIEGO OPERA, CALIFORNIA BALLET, LA JOLLA MUSIC SOCIETY, AND NEDERLANDER'S BROADWAY/SAN DIEGO. BEYOND ITS OWN SERIES OF SELF-PRESENTED EVENTS, ITS VENUES ALSO SHOWCASE HIGHLY-REGARDED MUSIC ARTISTS AND COMEDIANS THROUGH PARTNERSHIPS WITH OTHER PRESENTERS LIKE AEG AND LIVE NATION, WHO CAN BRING TO SAN DIEGO ARTISTS OF THE VERY HIGHEST CALIBER. THE THEATRE HOSTS A DIVERSE SCHEDULE OF CULTURAL, THEATRICAL AND MUSICAL PRODUCTIONS AS WELL AS FORMAL ASSEMBLIES, MEETINGS, AND COMMUNITY GATHERINGS. IN FY 2015, 48% OF THE CIVIC THEATRE'S USE WAS BY LOCAL NON-PROFIT PRODUCING AND PRESENTING ORGANIZATIONS. FOR THESE LOCAL NON-PROFIT USERS, SAN DIEGO THEATRES EXTENDED FINANCIAL SUPPORT THROUGH DISCOUNTS OF APPROXIMATELY $285,000 IN RENTAL AND SERVICE FEES. ADDITIONALLY, SAN DIEGO THEATRES VOLUNTARILY CONTRIBUTED TO THE ENHANCEMENT OF THE CIVIC THEATRE'S BUILDING INFRASTRUCTURE AND SYSTEMS THROUGH VARIOUS CAPITAL IMPROVEMENTS, SYSTEM ENHANCEMENTS, AND EQUIPMENT REPLACEMENTS. IN FY 2015, THESE INVESTMENTS BY SAN DIEGO THEATRES AMOUNTED TO $433,844. THE HISTORIC BALBOA THEATRE HOSTS DIVERSE PROGRAMMING THAT SERVES A WIDE RANGE OF COMMUNITY INTERESTS. IN ADDITION TO SUCH POPULAR CONTEMPORARY ENTERTAINMENT AS COMEDIANS AND CONCERTS, THE BALBOA THEATRE IS EXTENSIVELY USED BY SUCH LOCAL NON-PROFIT ORGANIZATIONS AS CLASSICS 4 KIDS, CALIFORNIA BALLET, LA JOLLA MUSIC SOCIETY, MARIACHI SCHOLARSHIP FOUNDATION, SAN DIEGO HUMAN DIGNITY FOUNDATION, UNIVERSITY OF CALIFORNIA SAN DIEGO, MAINLY MOZART, AND SAN DIEGO GAY MEN'S CHORUS. THESE LOCAL NON-PROFIT USES AMOUNTED TO 45% OF BALBOA THEATRE'S USE IN FY 2015. FOR THESE NON-PROFIT USERS, SAN DIEGO THEATRES EXTENDED DISCOUNTS OF APPROXIMATELY $120,000 IN RENTAL AND SERVICE FEES. TO FURTHER BROADEN THE PROGRAMMING TO SERVE THE COMMUNITY, SAN DIEGO THEATRES PRESENTED A NUMBER OF EVENTS AT THE BALBOA THEATRE, INCLUDING LAST COMIC STANDING, JANE LYNCH, IRA GLASS, DINOSAUR TRAIN, GEORGE BENSON, ABBA MANIA, AL DI MEOLA, PAT BENATAR, BRUCE HORNSBY, ROSEANNE BARR, AND RALPHIE MAY. ADDITIONALLY, THE BALBOA THEATRE SERVED AS THE SITE FOR THE CITY OF SAN DIEGO MAYOR'S STATE OF THE CITY ADDRESS AND SAN DIEGO COUNTY SCHOOL'S SALUTE TO TEACHERS AWARDS AS WELL AS VARIOUS COMMUNITY AND CORPORATE GATHERINGS. SAN DIEGO THEATRES SERVES DIVERSE EDUCATIONAL AND CHILDREN'S PROGRAMMING FOR THE COMMUNITY THROUGH SUPPORTIVE TERMS EXTENDED TO LOCAL USERS. THIS PROGRAMMING RANGES FROM CLASSICS 4 KIDS SERVING OVER 12,000 YOUNG CHILDREN ANNUALLY AT THE BALBOA THEATRE TO SAN DIEGO OPERA'S STUDENT DRESS PERFORMANCES SERVING OVER 6,100 STUDENTS AT THE CIVIC THEATRE. THE COMMUNITY IS ADDITIONALLY SERVED THROUGH CALIFORNIA BALLET, LA JOLLA MUSIC SOCIETY AND MAINLY MOZART'S STUDENT OUTREACH OPPORTUNITIES AT THE BALBOA AND CIVIC THEATRES. WITH SAN DIEGO THEATRES' SUPPORT, MULTIPLE SCHOOLS UTILIZE THESE THEATRES FOR THEIR ANNUAL PROGRAMS TO ENRICH THEIR INVOLVEMENT AND OUTREACH TO THE COMMUNITY. OVER THE COURSE OF FY 2015, SAN DIEGO THEATRES HOSTED: 235 PERFORMANCES 327 OCCUPANCY DAYS 428,405 IN ATTENDANCE IN FY 2015, THE ECONOMIC IMPACT OF SAN DIEGO THEATRES, AS CALCULATED BY THE AMERICANS FOR THE ARTS, AMOUNTED TO: 544 FULL TIME EQUIVALENT JOBS $18.6 MILLION IN TOTAL EXPENDITURES $12.8 MILLION IN HOUSEHOLD INCOME $874 THOUSAND IN LOCAL GOVERNMENT REVENUES $1.07 MILLION IN STATE GOVERNMENT REVENUES

SAN DIEGO THEATRES ADDTIONALLY ADOPTED A CORPORATE CONFLICT OF INTEREST POLICY NO. 404, WHICH SUPPLEMENTS THE STANDARDS ESTABLISHED BY THE FPPC, WHICH ARE INCORPORATED IN THE CONFLICT OF INTEREST CODE. THE PURPOSE OF THIS POLICY IS TO PROHIBIT INDIVIDUALS FROM ENGAGING IN SITUATIONS WHICH CREATE AN APPARENT OR ACTUAL CONFLICT OF INTEREST TO THE BUSINESS INTERESTS OF THE SAN DIEGO THEATRES.
