Form 990, Part VI, Line 11b: Form 990 Review Process The draft of the Form 990 is provided to the President and the Treasurer of the organization for review and approval prior to final signing and filing of the return.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts While we at ICRD appreciate the concern and reasons behind awareness and enforcement of a "conflict of interest" policy, ICRD by-laws, in the case of board members, severely limit possibilities for conflicts of interest. Although Board Directors receive no salary for their services on the board, directors are permitted to serve the center in other capacities and receive reasonable compensation for their work. Consequently, such by-laws and de facto organizational operations ordinarily obviate any need for practical concerns about possible violations committed by members of the board for ICRD.Furthermore, all organizational operations, particularly those relative to contract obligations or monetary exchanges, are easily and independently scrutinized by the ICRD president, executive vice-president, and treasurer. Because we are a relatively small organization, such scrutiny is practicable as well as achievable. Inappropriate financial transactions of any type between board members, officers, or employees - or any family relationships of same - would be quickly and obviously recognized, prohibited, and thus easily avoided. Employing personal and professional moral and ethical rectitude is part and parcel of who we are and what we do at the ICRD. Such integrity permits success in our organizational aims and goals, and any violations cannot and will not be countenanced.
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees The process for determining the compensation of the organization's top management officials and key employees did not include a review and approval by independent personnel based on comparability data relating to other organizations. The principal reason it did not is because ICRD has never been adequately funded to pay "comparable" salaries to its employees. During ICRD's first years of operations, the board of directors established a set of maximum salaries for its senior officers. The top salary for the president for example was set at $150,000. After 16 years of operation, the president's actual salary is still below that (and was even zero for two different six month periods during the early years). Based on comparability data, the average NGO CEO salary in the Washington area five years ago was $175,000. Thus ICRD's maximum is even $25,000 below that figure (which by now is even higher). At such time as any ICRD salary exceeds the original board established maximums, the organizational compensation procedures will begin to take effect.
Form 990, Part VI, Line 19: Other Organization Documents Publicly Available The ICRD's Form 990 and Form 1023 are available by request. ICRD makes its conflict of interest policy, financial statements and other governing documents available on an as needed basis, subject to the discretion of the organization.
