THE BOARD DISCUSSES THE TRANSACTION WITH THE INTERESTED PARTY, AND AFTER DISCUSSION, THE INTEREST PARTY WILL EXIT THE MEETING WHILE THE BOARD DISCUSSED AND VOTES ON WHETER OR NOT TO APPROVE THE TRANSACTION.
