THE BYLAWS WERE AMENDED IN JUNE 2015. THE SIGNIFICANT CHANGES WERE: - THE BOARD REPLACED THE PURPOSE OF THE ACADEMY WITH THE MISSION STATEMENT. - THE BOARD CHANGED ITS ROLE FROM CORPORATE MANAGEMENT AND CONTROL TO CORPORATE OVERSIGHT, CONTROL AND STRATEGIC DIRECTION. - THE NUMBER OF OFFICERS WAS CHANGED TO ADD A FOURTH VICE PRESIDENT AND A CHIEF FINANCIAL OFFICER. THE CHIEF OPERATING OFFICER AND THE OFFICE OF IMMEDIATE PAST PRESIDENT WERE ELIMINATED. - THE ROLES OF OFFICERS WERE ADJUSTED TO BE CONSISTENT WITH THE DECISION BY THE BOARD TO PLACE THE MANAGEMENT OF THE ENTITY INTO THE CONTROL OF THE CEO WITH THE BOARD HAVING OVERSIGHT. BOARD OVERSIGHT COMMITTEES WERE CREATED TO FULFILL THIS FUNCTION. - THE BYLAW CHANGE NOTIFICATION PERIOD WAS REDUCED FROM THIRTY DAYS TO TEN DAYS. |
