PROPOSES TO ENTER INTO ANY TRANSACTION, THAT PERSON SHALL GIVE THE BOARD OF DIRECTORS NOTICE OF SUCH INTEREST OR RELATIONSHIP. FURTHERMORE, THEY SHALL REFRAIN FROM VOTING OR OTHERWISE ATTEMPTING TO EXERT ANY INFLUENCE THAT MAY AFFECT THE DECISION WHETHER TO PARTICIPATE IN THE TRANSACTION. |
