Form 990, Part VI, Line 3: Description of Delegated Duties to Management Company Certain duties traditionally performed by the finance department were performed by BKD, LLP an accounting firm with expertise in the field. Duties performed included assisting with financial estimates, assisting the CEO with the budget process, preparation of monthly financial statements, and other financial reports as requested by funding agencies, and for providing technical support to the organization's accounting staff.
Form 990, Part VI, Line 11b: Form 990 Review Process The Form 990 is prepared by the independent accounting firm that conducts the annual financial statment audit and information provided by the accounting department of the organization. Prior to filing, a tentative draft is reviewed by the president and CEO and the Executive Committee of the Board of Directors. Once any updates are made, a final draft will be provided to the board of directors.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts All staff and Board of Directors are required to complete an annual conflict of interest statement of disclosure which is kept in personnel and board volunteer file. Policy also includes the disclosure of conflicts of interest as they arise.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management An independent consulting agency, Management Resource Center, Inc., conducts annual salary survey and prepares the compensation scale as appropriate. MRC utilizes a systematic approach to employee compensation that involves the use of point factor job evaluation to assign jobs to pay grades, and surveys of the labor market to ensure that pay is competitive, methodologies for assessing individual pay levels on a annual basis. San Benito Health Foundation (SBHF) retains MRC to review the competitive labor market and develop pay ranges for the upcoming year. MRC recommends the adoption of the new ranges to the board of directors who review the information provided, and consideration of adjustments to current compensation, where appropriate, to ensure that all employees are paid according to their contribution to the organization. The board adopts changes to the compensation scale based on MRC input. This procedure was last performed on June 25, 2014. The Board also reviews the performance to the Chief Executive Officer and makes salary determinations based on the above mentioned methodology. Other benefits are in line with what is offered to all employees of the organization. The CEO'S compensation was reviewed using this procedure. The CEO evaluates key management staff on a annual basis and makes compensation determinations based on the above mentioned methodology as approved by the board of directors.
Form 990, Part VI, Line 19: Other Organization Documents Publicly Available The organization's governing documents and financial statements are made available upon requests while keeping within limits of HIPPA guidelines for protected information. All documents are available on an annual basis without restriction to the independent auditor.
