Members of Alabama Farmers Federation consist of County Farmers Federations in the State of Alabama and similar organizations organized for similar purposes which have been elected to membership by the Board of Directors. Each County Farmers Federation is represented by at least two or more individual members of its Federation depending on the membership size of the County Federation. These representatives form the voting delegates of the Alabama Farmers Federation. Each voting delegate has one vote for the affairs and policies of the organization and for the members of the governing body. |

The House of Voting Delegates consists of approximately 480 members of the organization. The House of Voting Delegate shall elect at the annual meeting from members of the Farmers Federation in good standing a president, four area vice presidents, twelve district directors, a secretary-treasurer, a representative from the Women's Committee and a representative from the Young Farmers Committee. Each voting delegate has one vote. |

The House of Voting Delegates shall have supervision and control of all the affairs and policies of the Federation. The full Board of Directors receives notification that the Form 990 is available for their review by contacting the Controller, Terrie Channell. The Alabama Farmers Federation's stance on Conflicts of Interest is outlined in the Federation's Principles of Business Conduct which is provided to all newly hired employees. In addition, all employees are asked to report any conflicts of interest during the hiring process and biannually upon recertification of compliance with the Principles of Conduct. All conflicts are monitored by Human Resources and discussed with management as deemed necessary based on the significance of the conflict. |

All company jobs, including those of the named executive officers are evaluated using a system designed by Hay Group. Salary ranges for jobs are determined based on this evaluation to ensure their competitiveness in the marketplace. Each year, the Compensation Committee of the Board of Directors evaluates the CEO's performance and makes its recommendation to the Board of Directors for approval. Other named executive officers are evaluated by their supervisors. |
