Form 990, Part VI, Section B, line 11 The entire Board of Directors will recieve an email copy of the draft of Form 990 for review and comment prior submission with the IRS.
Form 990, Part VI, Section B, line 12c When conflicts of interest arise, ESBA will reveal such conflicts immediately, and arrange for alternatives. Professional boundaries between those who ESBA serves, as well as between employees, will be respected at all times. Employees will be cognizant of the scope of their position at all times, and will not express opinions or make decisions that are beyond such scope, including the witnessing of documents relevant to persons served. If a situation arises where it is difficult to determine the proper course of conduct, or where questions arise concerning the propriety of certain conduct by an individual or others. Board members should raise any such concerns with the Chair or Vice Chair of ESBA's board. In all questions involving ethics and conduct, the board will make relevant determinations; any individual whose conduct is at issue will not participate in such decisions. ESBA is committed to investigating all reported violations promptly and confidentially to the extent reasonably possible. All investigations will be reviewed by the Corporate Compliance Committee. Once a compliance investigation has been completed, the reporting self-identified person will be given a brief summary of whether the allegations were substantiated and corrective action to the extent possible. Corrective action plans will be shared with the board, the President and CEO and the effective department head.
Form 990, Part VI, Section B, line 15 Executive positions include CEO, CFO, COO, SVP of People & Performance, and Chief Innovation Officer. The Compensation Committee of the Board evaluates and determines the CEO compensation. Market comparability for similar executive positions and performance against objectives are utilized by the CEO annually to determine other executive position compensation.
