From the membership of the Board of Incorporate Members (Governing Board) there are assigned members to two subsidiary boards, the Board of Regents and the Board of Trustees. The Board of Regents is entrusted with the general oversight of the faculty and the educational and spiritual functions of the Seminary. The Board of Trustees is entrusted with the direction of the property and financial interests of the Seminary, and authority is given to the Board of Trustees by the bylaws to act legally for the Board of Incorporate Members in all matters of property and finance, such actions being final. |

The form 990 is initially reviewed by an independent audit firm. The audit committee of the Board reviews and approves the form 990. The entire governing Board will be given the public disclosure copy after it is filed with the IRS. |

The Board determines the Presidents salary. An independent consulting firm prepared a compensation survey that compares the Presidents salary to similar positions at comparable not-for-profit educational institutions. The study also takes into account cost of living factors from different regions. |

Officers who are not employees are not compensated. The Boards Compensation Committee reviews and makes recommendation of salary levels for the president and key employees. Comparable salary survey data is used. |
