Form 990, Part VI, Line 1a: Explanation of Delegated Broad Authority to Committee The EC shall provide general oversight of this corporation, shall provide guidance to the Board on matters affecting this corporation generally (including but not limited to any grievance between this corporation and a client) and shall be responsible for such matters as are specifically delegated to the EC from time to time by the Board of Directors. In connection with emergency or other situations affecting this corporation where it is impossible or impractical to convene the Board in a timely manner, the EC shall have and may exercise all of the authority and powers of the BofD granted under these Bylaws. Notwithstanding the foregoing, the EC shall not be empowered with the power and authority of the BofD as to (i) any power that the laws of the State of California, these Bylaws or a resolution of the BofD specifically provides may not be delegated to the EC or to a committee of this corporation's BofD, (ii) the filling of vacancies on the BofD or in any committee; (iii) the amendment or repeal of the Bylaws of this corporation; (iv) the amendment or repeal of any resolution of the BofD that by its express terms is not so amendable or repealable; and (v) the appointment of other committees of the BofD or the members thereof. At each meeting of the BofD, the EC shall make full report of its actions and deliberations.
Form 990, Part VI, Line 8: Explanation of No Contemporaneously Documentation of Meetings Committees meet and bring recommendations to the full board; board actions regarding committee recommendations are recorded in the board minutes. Only the Executive Committee has the authority to act on behalf of the full board.
Form 990, Part VI, Line 11b: Form 990 Review Process The 990 return is reviewed by the Executive Director and Chief Financial Officer and other members of the management committee as appropriate, against the audited financial statement. The 990 is signed by the Executive Director and submitted to the IRS in a timely manner. The 990 is provided to the Board Treasurer for review and made available to the board members at a subsequent board meeting.
