Form 990, Part VI, Section B, line 11b New Canaan Country School recognizes that the governance role of its Board of Trustees includes the annual review of the Form 990. Accordingly, the School requires review of the Form 990 by the Board of Trustees prior to its filing on an annual basis. 1. The School's external auditors, Capossela Cohen, LLC are responsible for the timely preparation of Form 990. To facilitate this process, the Accounting Department of the School shall provide accurate and timely information as it becomes requested by the audit firm. 2. The completed Form 990 will be provided to a committee of the Board of Trustees comprised of Board Officers and the Audit Committee sufficiently in advance of the filing deadline to enable a detailed and conscienctious review by all members of the committee. All questions and concerns of the members of the committee will be addressed by the Chief Financial Officer and Controller and incorporated into the Form 990 as deemed appropriate. A committee meeting of the committee members shall be scheduled if deemed appropriate. 3. All members of the Board of Trustees will receive a copy of the completed Form 990 in advance of the filing deadline. All questions or concerns of the members of the Board of Trustees will be addressed by the Chief financial Officer and Controller and incorporated into Form 990 as appropriate. 4. After all input from the Board of Trustees and sub-committees have been appropriately addressed, senior management of the School will file the final Form 990 as required.
Form 990, Part VI, Section B, line 12c Officers, directors, key employees and trustees are required to disclose annually interests that could give rise to conflicts of interest. A complete list of vendors which the Organization carries on business with is furnished to these individuals. They are required to review the list and indicate if there is any personal, family or business relationship with such vendors.
Form 990, Part VI, Section B, line 15 The Chief Financial Officer compiles comparative compensation information from Heads of School on a regional and national level. This information is considered by the Executive Committe of the Board of Trustees who make all decisions on determining compensation. Minutes from these meetings are retained in writing and are kept confidential.
Form 990, Part VI, Section C, line 19 The organization makes these items available to the public upon request. Annual Reports and other information regarding the organization's committees, management, annual giving campaigns, endowment funding, and scholarship assistance can be accessed from the School's website, Countryschool.net.
