The board of acra has voted to follow the conflict of interest policy of its related organization, acr. In that policy, a member and acr staff person ("designates") are designated by the chairman of the board of chancellors and ceo to administer the conflict of interest policy. An interested person who becomes aware of a potential or perceived conflict is directed to promptly report it using a disclosure form. Acr officers, chancellors, commission, committee, and task force members, and employees Are required to sign a conflict of interest statement on an annual basis and amend/update it as necessary throughout the year. Conflict of interest statements are reviewed by the designates. Suggested resolutions are documented for any items requiring action. Resolutions may be applied in writing to the full board of chancellors. All documents pertaining to conflict of interest will be maintained by acr general counsel. The designates may consult with general counsel and cfo in determining whether a conflict should disqualify someone from serving on an acr body. |

Compensation of certain senior management positions, including the ceo, coo, cfo, and other key employees are subject to review and approval by the executive committee of the board of chancellors. Under the compensation policy, there are requirements established for decision maker impartiality, review of comparability data, and documented substantiation of decisions.
