The nominating committee of CHHSM, elected by the membership at the annual meeting, proposes a slate of candidates from a list submitted by any voting member of the board of directors. These proposals are submitted to the voting membership at its annual meeting to fill vacancies on the board of directors. The board of directors may appoint persons to fill unexpired terms until the subsequent annual meeting at which time the process repeats. |

All actions of the board of directors are recorded by the recording secretary at each directors meeting. The board of directors is empowered to act on behalf of the membership, with the exception of dues rate establishment or change, receiving of new members, adoption of changes to the code of regulations and electing the elected members of the board of directors. |

The Form 990 is prepared using the independently audited financial statements and appropriate governing and operating documents. A copy of the Form 990 is sent to the President and CEO, chair of the board of directors, and all members of the organizations board of directors for review prior to filing. On an annual basis, all board members are required to complete a conflict of interest questionnaire. Any board member disclosing an actual or potential conflict of interest in accordance with the policy shall recuse him or herself from voting on said matter, unless the board determines that there is no actual conflict of interest or elects to waive such conflict. The board, in its discretion, may permit such member to discuss the matter in a board meeting. However, there is the opportunity for the remaining board members to discuss and/or vote on the matter in the absence of such member. The minutes of the board meeting reflect the disclosure and disposition of the matter. |

The President and CEO's compensation is reviewed annually by the executive committee of the board of directors. Once compensation adjustments are approved, they are communicated to the financial manager for payroll and benefits update. The executive committee, all of whom are independent, considers comparable positions in the field and requests periodic surveys of comparable positions and compensation, as well as budget implications when determining the annual salary. These discussions and decisions are reflected in the minutes of the executive session of the executive committee meeting. All other officer and key employee compensation is reviewed and possibly adjusted annually by management. |
