A DIRECTOR OR COMMITTEE MEMBER HAVING A CONFLICT OF INTEREST AND IN ATTENDANCE AT THE MEETING SHALL DISCLOSE ALL MATERIAL FACTS, WHICH SHALL BE REFLECTED IN THE BOARD MEETING MINUTES. THE BOARD CHAIR SHALL ACT AS THE DIRECTOR'S OR MEMBER'S PROXY IF THE DIRECTOR OR MEMBER DOES NOT PLAN TO ATTEND THE MEETING. THE PERSON WITH THE CONFLICT OF INTEREST, OUTSIDE OF EXPLAINING ALL MATERIAL FACTS. SHALL NOT HAVE ANY INFLUENCE ON THE BOARD'S DISCUSSION OF THE ISSUE. ANY PERSON WITH A CONFLICT OF INTEREST THAT IS NOT A DIRECTOR OR MEMBER SHALL DISCLOSE SUCH CONFLICT OF INTEREST TO THE CHAIR OR CHAIR'S DESIGNEE AND SHALL ABSTAIN FROM MAKING ANY MATERIAL DECISIONS OR ACTIONS REGARDING THE TRANSACTION OR CONTRACT. |
