SCHEDULE J, PART 1, LINE 7
Each year, the Chair of the Board appoints three members of the Board of Trustees to serve with the Chair and the Vice Chair on the Compensation Committee of the Board. The Compensation Committee meets with the President to establish goals and benchmarks. At the end of the Academic Year, the Committee reviews the Presidents performance and makes a recommendation as to whether a salary increase and/or bonus is merited and, if so, the amount to be paid. This recommendation is reviewed by the Executive Committee of the Board for approval. When a new president is appointed, the Chair of the Board retains the services of an external compensation consultant. Based upon the information received, the Compensation Committee makes a recommendation. The Executive Committee reviews this recommendation and, if approved, the Chair presents the terms of the presidential contract to the Board for approval. If the president wishes to reward senior administrators who report directly to him with a bonus, the president presents his recommendations to the Compensation Committee. The Compensation Committee reviews and approves the payment of these bonuses. Other employees may also receive bonuses based upon the recommendation of their vice president; these bonuses must be approved by the president.
