POLICY: THIS POLICY DELEGATES RESPONSIBILITY FOR MANAGING THE PERFORMANCE REVIEW AND COMPENSATION DETERMINATION PROCESS OF THE AIIM PRESIDENT TO THE EXECUTIVE COMMITTEE OF THE AIIM BOARD. ADDITIONALLY, THIS POLICY ALSO LISTS RESPONSIBILITY OF THE AIIM PRESIDENT TO MANAGE THE PERFORMANCE REVIEW AND COMPENSATION DETERMINATION PROCESS FOR EXECUTIVES (VICE PRESIDENT/DIRECTORS) WITHIN AIIM INTERNATIONAL. PROCEDURE: THE BYLAWS OF AIIM INTERNATIONAL ESTABLISH THAT THE EXECUTIVE COMMITTEE HAS GENERAL OVERSIGHT OF THE PERFORMANCE REVIEW AND COMPENSATION OF THE AIIM PRESIDENT. SPECIFICALLY, A COMPENSATION COMMITTEE COMPRISED OF THE CHAIR AND VICE CHAIR PROVIDES AN ANNUAL REVIEW OF THE PRESIDENT OF THE ORGANIZATION. THE COMMITTEE MEETS INDEPENDENTLY OF THE PRESIDENT TO DISCUSS PERFORMANCE RELATIVE TO THE POSITION. DURING THE MEETINGS, THE COMMITTEE ALSO CONSIDERS INPUT FROM INDUSTRY SALARY STUDIES AND COMPARABILITY DATA. ONCE AN AGREEMENT IS REACHED REGARDING PERFORMANCE, A SIMILAR DISCUSSION IS HELD CONCERNING COMPENSATION RELATIVE TO ANNUAL BENCHMARKING AND ESTABLISHED OBJECTIVES. THE COMMITTEE THEN MEETS WITH THE PRESIDENT TO DISCUSS AND DOCUMENT STRENGTHS, WEAKNESSES AND GOALS FOR THE UPCOMING YEAR. COMPENSATION FOR THE UPCOMING YEAR IS ALSO DISCUSSED AND DOCUMENTED. A FOLLOW-UP EMAIL IS SENT TO THE DIRECTOR, FINANCE AND ADMINISTRATION FROM A COMMITTEE REPRESENTATIVE INDICATING APPROVAL OF SALARY AND/OR BONUS AGREEMENT AND/OR PAYOUT FOR ACTION. ADDITIONALLY PER THE BYLAWS, THE PRESIDENT IS RESPONSIBLE FOR THE DETERMINATION OF COMPENSATION OF AIIM EXECUTIVES. HE EXERCISES THIS DUTY ON AN ANNUAL BASIS UTILIZING PERFORMANCE REVIEWS, SALARY SURVEYS, COMPARABILITY DATA AND INPUT FROM VARIOUS SOURCES. HE MEETS WITH THE EXECUTIVE DISCUSSES STRENGTHS, WEAKNESSES, GOALS FOR THE UPCOMING YEAR AND COMPENSATION. THIS INFORMATION IS SUMMARIZED AND DOCUMENTED FOR EMPLOYEE FILES TO SUPPORT SALARY CHANGE. |
