FORM 990, PART VI, SECTION B, LINE 12C | THE CONFLICT OF INTEREST POLICY APPLIES TO ALL FULL AND PART-TIME EMPLOYEES, THE BOARD OF DIRECTORS, AND WHEN DEEMED APPROPRIATE BY THE EXECUTIVE DIRECTOR OR THE BOARD OF DIRECTORS, ANY CONSULTANT REGULARLY CONTRACTED BY THE ORGANIZATION. IF THERE ARE ANY CONFLICTS OF INTEREST, THEY ARE REVIEWED ANNUALLY BY THE BOARD OF DIRECTORS. SHOULD A POSSIBLE CONFLICT ARISE DISCLOSURE TO THE ORGANIZATION SHOULD BE MADE TO THE EXECUTIVE DIRECTOR OR THE BOARD OF DIRECTORS CHAIR. THE MATTER WILL THEN BE DISCLOSED TO THE BOARD OF DIRECTORS. THE BOARD OF DIRECTORS SHALL DETERMINE WHETHER A CONFLICT EXISTS AND IN THE CASE OF AN EXISTING CONFLICT, WHETHER THE CONTEMPLATED TRANSACTION MAY BE AUTHORIZED AS JUST, FAIR, AND REASONABLE TO SERAC. THE DECISION OF THE BOARD OF DIRECTORS ON THESE MATTERS WILL REST IN THEIR SOLE DISCRETION, AND THEIR CONCERN MUST BE THE WELFARE OF SERAC AND THE ADVANCEMENT OF ITS PURPOSE AND MISSION. |
