Part II, Line 2e: Explanation of Involvement: Schedule N, Part II, Line 2a, Explanation of Involvement:In the 2020 tax year, Heffter Research Institute's (EIN: 85-0414512, "HRI NM") board of directors determined that it would be in the Organization's best interest to change its state of incorporation from New Mexico to Delaware. Accordingly, a successor organization, also named Heffter Research Institute (EIN: 85-1073501, "HRI DE"), was incorporated in Delaware, and the majority of HRI NM's assets and obligations were transferred into the new HRI DE entity. HRI NM retained a nominal amount of funds to cover any final administrative costs or expenses that may arise in 2021. All remaining assets will be transferred from HRI NM into HRI DE upon HRI NM's formal and final winding up of its affairs. All directors and officers of HRI NM's board continued to serve on the board of HRI DE, without change; these individuals took up roles and responsibilities on the successor organization's board that were identical to their position on HRI NM's board, and in furtherance of an identical purpose and exempt mission. Schedule N, Part II, Line 2b, Explanation of Involvement:George Greer serves the Institute as its medical director and as the board's chair. Dr. Greer is also compensated as an independent contractor for the services he provides to the organization; Dr. Greer has been the medical director of the Institute since 1998, and has supervised HRI NM's medical and scientific research. Dr. Greer will continue to serve HRI DE and be compensated for his services in a capacity and manner that is identical to the arrangement with HRI NM.
