FORM 990, PART VI, SECTION B, LINE 12C THE CONFLICT OF INTEREST POLICY IS APPLICABLE TO ALL TRUSTEES AND OFFICERS AND TO ANY EMPLOYEE WHO CAN INFLUENCE THE ACTIONS OF CENTER STAGE. IT IS THE POLICY OF THE BOARD OF TRUSTEES THAT THE EXISTENCE OF ANY CONFLICT OF INTEREST SHALL BE DISCLOSED BEFORE ANY RELATED TRANSACTION IS CONSUMMATED. IT SHALL BE THE CONTINUING RESPONSIBILITY OF TRUSTEES, OFFICERS AND EMPLOYEES TO SCRUTINIZE THEIR TRANSACTIONS AND OUTSIDE BUSINESS INTEREST AND RELATIONSHIPS FOR POTENTIAL CONFLICTS AND TO MAKE SUCH DISCLOSURE. TRUSTEES, OFFICERS AND EMPLOYEES WHO HAVE AN ACTUAL OR POTENTIAL CONFLICT OF INTEREST SHOULD NOT PARTICIPATE IN DISCUSSIONS OR VOTE ON MATTERS AFFECTING TRANSACTIONS GIVING RISE TO THE CONFLICT. A CONFLICT OF INTEREST QUESTIONNAIRE WILL BE DISTRIBUTED ANNUALLY TO ASCERTAIN ACTUAL OR POTENTIAL CONFLICTS OF INTEREST ON THE PART OF ALL CENTERSTAGE TRUSTEES. THE MANAGING DIRECTOR WILL RECOMMEND A LIST OF EMPLOYEES TO THE BOARD OF TRUSTEES COMMITTEE WHO SHOULD BE ASKED TO COMPLETE THIS QUESTIONNAIRE.
FORM 990, PART VI, SECTION B, LINE 15 EVERY SEASON EMPLOYEES COMPENSATION IS EVALUATED AND COMPARED WITH DATA AVAILABLE THROUGH OUR TRADE ORGANIZATION, THEATRE COMMUNICATIONS GROUP. SALARY LEVELS ARE REVIEWED AND APPROVED BY THE MANAGING DIRECTOR, HUMAN RESOURCES AND/OR DIRECTOR OF FINANCE. THE MANAGING DIRECTOR AND ARTISTIC DIRECTORS COMPENSATION PACKAGE IS DETERMINED, REVIEWED AND APPROVED BY THE PRESIDENT OF THE BOARD OF TRUSTEES. EMPLOYMENT UNDERSTANDING MEMOS ARE ISSUED AND SIGNED BY EACH EMPLOYEE.
FORM 990, PART VI, SECTION C, LINE 19 THE GOVERNING DOCUMENTS AND CONFLICT OF INTEREST POLICY ARE AVAILABLE FOR PUBLIC INSPECTION AT OUR THEATERS'S OFFICES AND ARE AVAILABLE ELECTRONICALLY OR IN PAPER UPON REQUEST FOR THE SAME PERIOD OF DISCLOSURE AS SET FORTH IN SECTION 6104(D).
