THE BOARD OF DIRECTORS SHALL BE SELF-PERPETUATING. THE NUMBER OF DIRECTORS MAY BE CHANGED FROM TIME TO TIME BY RESOLUTION OF BOARD OF DIRECTORS, PROVIDED THAT THE NUMBER OF DIRECTORS WILL BE SET AT NOT LESS THAN THREE (3) AND NOT MORE THAN SIX (6). THE DIRECTORS WILL BE ELECTED AT THE ANNUAL MEETING OF DIRECTORS, EXCEPT AS SPECIFIED OTHERWISE IN THESE BYLAWS. IF WILLING TO SERVE AND APPROVED BY THE BOARD OF DIRECTORS, THE IMMEDIATE PAST PRESIDENT OF THE CORPORATION SHALL BE ELECTED TO SERVE AS A VOTING MEMBER ON THE BOARD OF DIRECTORS. NOTWITHSTANDING ANY PROVISIONS TO THE CONTRARY IN THESE BYLAWS, IF WILLING TO SERVE, THE CEO OF ROSEMAN UNIVERSITY OF HEALTH SCIENCES SHALL BE ELECTED TO SERVE AS A VOTING MEMBER ON THE BOARD OF DIRECTORS AND SHALL NOT BE REMOVED FROM THE BOARD OF DIRECTORS EXCEPT WITH THE WRITTEN CONSENT OF THE SOLE MEMBER. THE QUALIFICATIONS FOR SERVING ON THE BOARD OF DIRECTORS WILL BE DETERMINED BY THE EXECUTIVE COMMITTEE. THE DIRECTORS SHOULD BE REPRESENTATIVE OF THE VARIOUS PROFESSIONS IN THE LAS VEGAS COMMUNITY, SPECIFICALLY OF THE MEDICAL, LEGAL, ACCOUNTING, CLERICAL AND SIMILAR FIELDS. ALL DIRECTORS MUST BE AT LEAST TWENTY-ONE (21) YEARS OF AGE AND IN GOOD STANDING WITH THE CORPORATION. ALL DIRECTORS ARE EXPECTED TO SATISFY THE STANDARDS SET OUT IN THE CORPORATION'S BOARD OF DIRECTORS RESPONSIBILITY STATEMENT AND CODE OF CONDUCT POLICY AS MAY BE AMENDED FROM TIME TO TIME. |
