Form 990, Part VI, Line 11b: Form 990 Review Process The Form 990 shall be distributed to all members of the Board of Directors prior to filing with the IRS. A memo is attached instructing Board Members to inform the Executive Director by a stipulated date if they see any errors or omissions in the Form 990. The memo and Form 990 may be distributed by US Postal Service with documentation of mailing or by electronic mail with documentation that they opened the mail.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts Periodic reviews shall be conducted by the Administrative and Audit Committee to determine if conflicts of interest exist. The Board of Directors or Committee is responsible for resolving any conflicts.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management The Board of Directors shall ensure that the Chief Executive Officer receives compenstation that is appropriate, reasonable, and not excessive or unusual for the position by periodically obtaining comparative salary and benefits data for positions similar to that of the Organization's executive officer.
