OFFICERS, DIRECTORS, OR STAFF MEMBERS ABSTAIN FROM PARTICIPATION IN THE REVIEW OF OR FROM VOTING ON ANY ACTION IN WHICH THEY HAVE A DIRECT OR INDIRECT INTEREST. THE PERSON HAVING THE CONFLICT RETIRES FROM THE ROOM IN WHICH THE LEADERSHIP COUNCIL OR BOARD OF DIRECTORS IS MEETING BUT PROVIDES ANY AND ALL RELEVANT INFORMATION. ANCHORED WITH THE ANNUAL SALARY BUDGET AND INFORMATION FROM THE MANAGING DIRECTOR, HUMAN RESOURCES, THE EXECUTIVE DIRECTOR DETERMINES AND APPROVES ANNUAL INCREASES FOR THE ASSOCIATE EXECUTIVE DIRECTOR, CHIEF OFFICERS. AND KEY STAFF. 2017 WAS THE MOST RECENT YEAR IN WHICH THE PROCESS INCLUDED REVIEW AND APPROVAL BY INDEPENDENT PERSONS, COMPARABILITY DATA, AND CONTEMPORANEOUS SUBSTANTIATION OF THE DELIBERATION AND DECISION. A NEW EXECUTIVE DIRECTOR WAS HIRED ON JAN 1, 2020 AND THE HIRING PROCESS WAS HANDLED BY THE BOARD OF DIRECTORS. THE MANAGING DIRECTOR, HUMAN RESOURCES, DID BENCHMARKING AND PROVIDED THE INFORMATION TO THE BOARD PRESIDENT. FROM THERE, THE BOARD RETAINED A SEARCH FIRM TO FILL THE ROLE.
