GARY SHAPIRO WAS PAID $791,376 ($487,500 TRUST I AND $303,876 TRUST II) UNDER A DEFERRED COMPENSATION PLAN. THE CONTRACTED PAYMENT IS BASED ON HIS CONTINUOUS EMPLOYMENT THROUGH 12/31/2010 FOR TRUST I AND 12/31/2015 FOR TRUST II. ANNUAL DISTRIBUTIONS EQUAL 50% OF BASE SALARY AS OF 12/31/2010 AND 25% OF BASE SALARY AS OF 12/31/2015 PAID IN 12 EQUAL MONTHLY INSTALLMENTS. SENIOR EXECUTIVES ARE ELIGIBLE FOR THE SPECIAL INCENTIVE PLAN (SIP). ELIGIBLE EMPLOYEES RECEIVED AN AMOUNT EQUAL TO THEIR ANNUAL CASH BONUS THAT WILL BE EARMARKED IN THE SIP. UPON THE THIRD ANNIVERSARY OF THE CREATION OF THE SIP AND EVERY YEAR THEREAFTER, ELIGIBLE EMPLOYEES WILL BE ENTITLED TO WITHDRAW THE AWARD MADE THREE YEARS EARLIER.
