FORM 990, PART III, LINE 4A: THE HARRISON MEDICAL CENTER FOUNDATION WAS INCORPORATED AS A 501 (3), TAX-EXEMPT, CHARITABLE FOUNDATION IN 1986 TO SERVE AS THE OFFICIAL GIFT-RECEIVING AND GIFT-ADMINISTRATION AGENCY FOR HARRISON MEDICAL CENTER. IN FY20 HARRISON MEDICAL CENTER FOUNDATION'S 3-MEMBER STAFF AND 5-MEMBER BOARD OF TRUSTEES RAISED FUNDS THROUGH ANNUAL GIVING, MAJOR GIFTS, PLANNED GIVING, SPECIAL EVENTS, AND CORPORATE/FOUNDATION GRANTS TO HELP FUND HEALTH CARE PROGRAMS, PROJECTS AND COMMUNITY OUTREACH SERVICE OFFERED BY THE HOSPITAL. THE FOUNDATION'S FY 2020 FUND-RAISING EVENT FOR HARRISON MEDICAL CENTER INCLUDED THE VIOLET E. CARLSON TABLE TOP CHRISTMAS. PROVIDING QUALITY HEALTH CARE FOR ALL WHO NEED IT, REGARDLESS OF ABILITY TO PAY, IS AN IMPORTANT PART OF THE HARRISON MEDICAL CENTER'S MISSION AS WELL AS THAT OF THE FOUNDATION. THE FOUNDATION ASSISTS HARRISON MEDICAL CENTER IN PROVIDING CARE FOR THE POOR BY ENCOURAGING ITS DONORS TO CONTRIBUTE TO GIFTS THE SMALL FAVORS FUND, WHICH PROVIDES CLOTHING, TRANSPORTATION, AND MEDICAL SUPPLIES FOR PATIENTS WHO DON'T HAVE MONEY TO PAY FOR THESE THINGS THEMSELVES. THE HARRISON MEDICAL CENTER FOUNDATION FUNDS A NURSE RESIDENCY PROGRAM, WHICH PROVIDES AN EXTENSIVE 18 WEEK EDUCATION PROGRAM FOR RECENTLY HIRED NURSES TO PROVIDE FURTHER EDUCATION ON THE LATEST HEALTH CARE RESEARCH DEVELOPMENTS AND MEDICAL TECHNIQUES. LAST YEAR, OUR EMPLOYEE GIVING CLUB CONTINUED TO DISTRIBUTE FINANCIAL ASSISTANCE TO EMPLOYEES IN NEED THROUGH EMERGENCY ASSISTANCE FUNDING AND THE FRED MEYER GIFT CARD PROGRAM.
FORM 990, PART VI, SECTION A, LINE 1 PURSUANT TO ARTICLE 5, SECTION C, ITEM 2.A OF THE BYLAWS OF HARRISON MEDICAL CENTER FOUNDATION, THE EXECUTIVE COMMITTEE SHALL CONSIST OF THE FOUR OFFICERS OF THE BOARD, AND THE IMMEDIATE PAST PRESIDENT OF THE BOARD IF THAT INDIVIDUAL IS STILL A MEMBER OF THE BOARD. PURSUANT TO ARTICLE 5, SECTION C, ITEM 2.A OF THE FOUNDATION'S BYLAWS, COMMITTEES, SUCH AS THE EXECUTIVE COMMITTEE, THAT ARE GRANTED THE AUTHORITY TO ACT ON BEHALF OF THE BOARD OF DIRECTORS MAY INCLUDE ONLY DIRECTORS OF THE CORPORATION. FURTHER, PURSUANT TO ARTICLE 5, SECTION C, ITEM 2.A OF THE FOUNDATION'S BYLAWS, THE EXECUTIVE COMMITTEE HAS AND MAY EXERCISE SUCH POWERS AS MAY BE DELEGATED TO IT BY THE BOARD OF DIRECTORS. THE EXECUTIVE COMMITTEE ALSO POSSESSES THE POWER TO TRANSACT ROUTINE BUSINESS OF THE CORPORATION IN THE INTERIM PERIOD BETWEEN REGULARLY SCHEDULED MEETINGS OF THE BOARD OF DIRECTORS.
FORM 990, PART VI, SECTION A, LINE 6 HARRISON MEDICAL CENTER IS THE SOLE MEMBER OF THE FOUNDATION. IF THE FOUNDATION WERE TO DISSOLVE, THE HOSPITAL WOULD BE THE SOLE BENEFICIARY OF ASSETS.
FORM 990, PART VI, SECTION A, LINE 7A AS THE SOLE MEMBER OF THE FOUNDATION, HARRISON MEDICAL CENTER ELECTS TWO MEMBERS FROM ITS BOARD OF DIRECTORS TO SIMULTANEOUSLY SERVE AS "CROSSOVER" MEMBERS TO THE FOUNDATION'S BOARD OF DIRECTORS. (CHCF RESERVED RIGHTS) EXCEPT AS OTHERWISE PROVIDED IN THE CORPORATION'S ARTICLES OF INCORPORATION OR THE LAWS OF THE STATE OF ORGANIZATION, CATHOLIC HEALTH CARE FEDERATION ("CHCF") SHALL HAVE SUCH RIGHTS AS ARE RESERVED TO THE CORPORATE MEMBER, ACTING IN ITS CAPACITY AS THE MEMBERSHIP BODY OF CHCF, UNDER THE GOVERNANCE MATRIX.
