Those that are deemed to have a conflict of interest must declare so to the board of directors and abstain from any board/committee actions. All relationships and transaction details are appropriately documented, reviewed by the board, who has final determination of the nature and magnitude of the conflict of interest. At the board's request, anyone with a conflict of interest may be required to take a temporary leave of absence, if necessary, to avoid any such conflicts. |
