THE BOARD OF DIRECTORS AMENDED THE ORGANIZATION'S BYLAWS IN OCTOBER 2021. THE CHANGES WILL TAKE EFFECT AFTER THE ANNUAL BOARD MEETING ON MARCH 8, 2022. THE CHANGES INCLUDED REDUCING THE MINIMUM NUMBER OF DIRECTORS TO 6 (FROM 9) AND THE MAXIMUM NUMBER OF DIRECTORS WAS REDUCED TO 15 (FROM 21). THE BOARD ALSO ELIMINATED THE OFFICER POSITION OF CORRESPONDING SECRETARY AND ASSISTANT TREASURER, AND ADDED A NEW OFFICER POSITION FOR THE SECOND VICE PRESIDENT. ALSO EFFECTIVE MARCH 8, 2022, ALL FORMER PRESIDENTS WILL BE CONSIDERED EX-OFFICIO MEMBERS AND SHALL HAVE NO VOTING RIGHTS AND SHALL NOT BE COUNTED FOR DETERMINING A QUORUM. |

THE ORGANIZATION CONSISTENTLY MONITORS AND ENFORCES THE CONFLICT OF INTEREST POLICY BY REQUIRING ALL NEW BOARD MEMBERS TO SIGN THE POLICY TO IDENTIFY ANY CONFLICTS THAT EXIST AT THE TIME OF SIGNING. DURING BOARD MEETINGS, MEMBERS ARE ASKED TO IDENTIFY ANY CONFLICTS AS THEY ARISE AND RECUSE THEMSELVES FROM TAKING PART IN A VOTE THAT INVOLVES A MATTER OF CONFLICT. |

THEY USE A SALARY SURVEY AS A BENCHMARK FOR EACH POSITION, UTILIZING COMPARABLES FROM OTHER SIMILAR ORGANIZATIONS AND OTHER AVAILABLE DATA. THE BOARD WILL REVIEW AND APPROVE. |

THE ORGANIZATION WAS INCORPORATED IN 1912 AND THEREFORE DID NOT FILE A FORM 1023 WITH THE IRS FOR TAX EXEMPT STATUS. THE ORGANIZATION RECEIVED A DETERMINATION LETTER IN 1939 FROM THE IRS. THIS DOCUMENT AND THE 990 WILL BE AVAILABLE FOR INSPECTION UPON REQUEST. |
