A)TRUSTEES SHALL DISCLOSE TO THE BOARD ANY POSSIBLE CONFLICT OF INTEREST AT THE EARLIEST PRACTICAL TIME. THE BYLAWS OF PACIFIC UNIVERSITY SPECIFICALLY STATE THAT THE BOARD OF TRUSTEES IS RESPONSIBLE TO APPOINT THE PRESIDENT AND SET APPROPRIATE CONDITIONS OF EMPLOYMENT WHICH INCLUDE COMPENSATION. THIS BENCHMARKING STUDY INCLUDED RELEVANT INFORMATION ABOUT PACIFIC UNIVERSITY AND THE RESPONSIBILITIES AND ROLES OF THE PRESIDENT AND VICE PRESIDENTS, INCLUDING VP UNIVERSITY ADVANCEMENT, VP STUDENT LIFE, CFO-VP FINANCE & ADMINISTRATION, AND PROVOST-VP ACADEMIC AFFAIRS. SUCH INFORMATION INCLUDED A JOB DESCRIPTION FOR EACH POSITION, PACIFIC'S COMPENSATION PHILOSOPHY, GOALS, ROLES AND RESPONSIBILITIES AND OTHER PERTINENT INFORMATION. IN ADDITION, THE FIRM CONDUCTED A COMPREHENSIVE SURVEY OF COMPENSATION PACKAGES OF UNIVERSITY PRESIDENTS AND VICE PRESIDENTS THAT INCLUDED 11 PEER INSTITUTIONS. THE SURVEY INCLUDED REQUESTS OF INFORMATION ON BASE COMPENSATION, BONUSES, DEFERRED COMPENSATION, AND RETIREMENT PROGRAMS AND INCLUDED VARIOUS PREREQUISITES. THE FIRM MONITORED RESPONSES AND ANALYZED THE DATA AND THEN PREPARED A REPORT OF THE RESULTS. THIS BENCHMARKING REPORT ALSO INCLUDED RECOMMENDATIONS OF THE RANGE OF PERCENTILES FOR COMPENSATION BASED ON THE PEER GROUP AND INCLUDED RECOMMENDATIONS REGARDING THE STRUCTURE OF THE PACKAGE. BENCHMARKING STUDIES ARE USED BY MEMBERS OF THE BOARD OF TRUSTEE ("BOARD") WHEN REVIEWING COMPENSATION FOR THE PRESIDENT OR IN SELECTING A NEW PRESIDENT. THIS BENCHMARKING STUDY CONDUCTED IN 2013-2014 WAS SHARED WITH THE CHAIR OF THE BOARD OF TRUSTEES AND OTHER MEMBERS OF THE BOARD COMPENSATION COMMITTEE.
