Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder The members of the Newport County Chamber of Commerce are businesses located in Newport County, RI. The members do not elect the Board of Directors or approve decisions of the Board of Directors. The members do not receive a share of the organization's profits or excess dues or a share of the organization's net assets upon dissolution.
Form 990, Part VI, Line 11b: Form 990 Review Process The Form 990 is prepared by the accounting firm and reviewed by management. Revisions, corrections, etc are made as necessary. Once all are satisfied with the form, it is finalized and a copy is sent to all board members. No review was or will be conducted by the board.

The review also establishes the individual's compensation for the following year. This process involves the evaluation of the individual, and a review of compensation of comparable positions obtained from the 990 of similar organizations. The board's deliberation and decision is noted in the minutes of the meeting.
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees The Executive Director establishes the compensation of the senior management team and reviews the performance evaluations and recommended compensation with the board. The evaluations and compensation are discussed by the board, although no vote of approval of the Executive Director's decision is required.
Form 990, Part VI, Line 19: Other Organization Documents Publicly Available The Newport County Chamber of Commerce by-laws require that annual operations, financial statements, and program of work be made available to all members during annual member meetings and at any time upon member request.
